Welcome to GoAutoC! These Terms & Conditions (“Terms”) govern your access to and use of the GoAutoC website and its services (collectively, the “Service”). The Service is owned and operated by GoAutoC.

By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations in Canada and your province of residence. If you do not agree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and GoAutoC. You acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

To use the Service, you must be at least 18 years of age and capable of forming a binding contract under applicable law. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. The GoAutoC Service

GoAutoC provides an online platform that facilitates the connection between buyers and sellers of new and used vehicles in Canada. Our Service includes, but is not limited to:

• Listing vehicles for sale by private sellers and dealerships.
• Allowing potential buyers to search for vehicles.
• Providing tools and resources to facilitate communication and negotiation between buyers and sellers.
• Potentially offering third-party services (e.g., financing, insurance, vehicle history reports) through integrations or partnerships.

GoAutoC is a marketplace and does not own, sell, buy, or inspect the vehicles listed on the platform. We are not a party to any transaction between buyers and sellers.

4. User Accounts

• Registration: To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify GoAutoC immediately of any unauthorized use of your account.
• Account Termination: GoAutoC reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to, a breach of these Terms.

5. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Misrepresent Information: Post false, inaccurate, misleading, or fraudulent information, including but not limited to vehicle details, pricing, or your identity.
• Infringe Rights: Post content that infringes on the intellectual property rights, privacy rights, or any other rights of any third party.
• Illegal Activities: Use the Service for any illegal or unauthorized purpose, or in a manner that violates any applicable laws or regulations.
• Harassment/Abuse: Harass, threaten, or abuse other users.
• Spam/Malware: Transmit any unsolicited advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
• Viruses/Harmful Code: Transmit or upload any material that contains viruses, Trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs.
• Interference: Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Circumvention: Attempt to gain unauthorized access to the Service or its related systems or networks.
• Fraud: Engage in any fraudulent activity, including but not limited to, phishing, identity theft, or deceptive practices.
• Prohibited Items: List or attempt to sell any vehicles that are not legally permissible for sale in Canada or your specific province, or any items other than vehicles.

6. Listing Vehicles for Sale

• Accuracy of Listings: If you are a seller, you are solely responsible for the accuracy and completeness of all information provided in your vehicle listings, including but not limited to the vehicle description, condition, mileage, price, and any disclosures required by law.
• Compliance: You agree that all vehicles listed for sale comply with all applicable provincial and federal laws and regulations, including but not limited to those related to vehicle safety, emissions, and consumer protection.
• Ownership: You warrant that you are the legal owner of the vehicle you are listing for sale or have the express authorization from the legal owner to do so.
• Images: You agree that any images uploaded are accurate representations of the vehicle and do not contain watermarks, contact information, or any other promotional material outside of the vehicle itself.

7. Buying Vehicles

• Due Diligence: As a buyer, you are solely responsible for conducting your own due diligence before making a purchase. This includes, but is not limited to, inspecting the vehicle, obtaining a vehicle history report (e.g., CarFax, CarProof), having the vehicle inspected by a qualified mechanic, and verifying the seller’s identity and ownership.
• Negotiation & Agreement: GoAutoC does not participate in the negotiation or final agreement between buyers and sellers. Any agreements reached are solely between the buyer and seller.
• Payment: GoAutoC is not involved in the payment process between buyers and sellers. You are responsible for ensuring secure and legitimate payment methods.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

GOAUTOC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

GOAUTOC IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USERS OR THIRD PARTIES, NOR FOR THE QUALITY, SAFETY, OR LEGALITY OF THE VEHICLES ADVERTISED, THE TRUTH OR ACCURACY OF THE LISTINGS, OR THE ABILITY OF SELLERS TO SELL VEHICLES OR BUYERS TO PURCHASE VEHICLES.

IN NO EVENT SHALL GOAUTOC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless GoAutoC, its affiliates, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:

• Your use of or inability to use the Service.
• Your violation of these Terms.
• Your violation of any rights of a third party, including without limitation, any intellectual property rights or privacy rights.
• Your interaction with any other user of the Service.
• Any content you submit, post, or transmit through the Service.

10. Intellectual Property

All content on the GoAutoC website, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of GoAutoC or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted by the Service’s functionalities.

11. Links to Third-Party Websites

The Service may contain links to third-party websites or services that are not owned or controlled by GoAutoC. GoAutoC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that GoAutoC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

12. Governing Law and Jurisdiction

15. Changes to Terms

GoAutoC reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
